Pursuant to Clause 17 (8), only the German language version is legally authoritative.<\/p><p>&#8212;<\/p><p><strong>1. Application<\/strong><\/p><p>(1) Application must be made by means of the application form provided, subject to acceptance of these conditions, and is binding. The fully completed and legally binding signed form must be returned to PEOPLEME GmbH (hereinafter: &#8220;PEOPLEME&#8221;). The contract is concluded only upon express confirmation by PEOPLEME (by post, fax or email).  <\/p><p>(2) Applications or orders for services or technical connections will only be accepted if they are submitted on the corresponding forms.<\/p><p>(3) Applications made subject to conditions or reservations will only be accepted if this has been expressly confirmed in writing by PEOPLEME. Specific location requests will be taken into account as far as possible but cannot be guaranteed. Exclusion of competitors cannot be granted. In all cases, space is allocated according to the date of receipt. It may happen that the available space is already fully booked before the application deadline. In this case, no contract is concluded.     <\/p><p>(4) These General Terms and Conditions apply to all services rendered by PEOPLEME. Conflicting general terms and conditions of the exhibitor are not recognised by PEOPLEME. <\/p><p>(5) PEOPLEME is entitled to transfer the staging of the event as well as the rights and obligations arising from this contract, in whole or in part, to a company affiliated with PEOPLEME within the meaning of Sections 15 et seq. of the German Stock Corporation Act (AktG). In this case, the affiliated company shall take the place of PEOPLEME in the rights and obligations arising from the exhibitor contract. The exhibitor will be informed of such a transfer in good time. The exhibitor is entitled to object only if the change of contractual partner impairs the exhibitor&#8217;s legitimate interests.   <\/p><p>1.1. Trends Up West specific provision: Trade fair character \/ no sales to end consumers<\/p><p>TRENDS UP WEST is a trade event. Admission is granted to commercial buyers, retailers, sales representatives and other trade visitors. The organiser is entitled to control access accordingly and to refuse admission to persons without a professional connection to the trade.  <\/p><p>Sales to end consumers are not permitted. Over-the-counter sales, cash sales and the direct handover or delivery of goods during event hours are likewise prohibited unless the express written consent of the organiser has been obtained. <\/p><p>In the event of violations, the organiser may prohibit the sale, temporarily close the stand or terminate the participation contract without notice for good cause.<\/p><p><strong>2. Sub-exhibitors and shared stands<\/strong><\/p><p>(1) Without prior written consent, it is not permitted to make an allocated stand or parts thereof available to third parties (= sub-exhibitors), whether for consideration or free of charge.<\/p><p>(2) Costs for application and catalogue entry are incurred for each sub-exhibitor. The main exhibitor is liable to PEOPLEME for all costs and damages caused by the main exhibitor or the sub-exhibitor. <\/p><p>(3) The admission of sub-exhibitors without the consent of PEOPLEME entitles PEOPLEME to terminate the contract with the exhibitor without notice and to have the stand cleared at the stand tenant&#8217;s expense. In this respect, the stand tenant waives the rights arising from unlawful interference with possession. The stand tenant is not entitled to any claims for damages. The items will be placed in storage at the exhibitor&#8217;s expense and risk. PEOPLEME acquires a lien on the stored items in the amount of the costs incurred. These may be sold by PEOPLEME following written notice and continued non-payment. Any surplus proceeds will be transferred to the exhibitor after deduction of all costs. In the event of damage to, destruction or loss of the pledged goods, the liability of PEOPLEME is limited to intent and gross negligence. The exhibitor shall indemnify PEOPLEME against all claims for damages by the unauthorised sub-exhibitor.        <\/p><p><strong>3. Costs, services and payment conditions<\/strong><\/p><p>(1) Participation costs incurred by the exhibitor arise in particular from the following items: (a) service flat rate, (b) space rental, (c) equipment for stand design\/stand construction (if expressly booked), (d) service orders, (e) entries in the online exhibitor directory and fair planner (fair catalogue), (f) general environmental flat rate.      <\/p><p>At Trends Up West there is a separate package with a price per square metre which includes the basic services with the exception of (c) and (d). Included are, among other things, a power connection with a connected load of up to 1 kW and the disposal of waste in the usual scope of up to 1 m\u00b3 per stand. (c) equipment for stand design\/stand construction and (d) service orders may be booked additionally as required; costs will be invoiced accordingly. The same applies to connected loads above 1 kW and to waste volumes exceeding the included scope.      <\/p><p>Trends Up West: one price, all basic services included<\/p><p><strong>Open marketplace:** no partition walls, construction height within the stand area up to 1.80 m, at the stand boundary up to 1.60 m (for details see Clause 8.1 and the Guideline).<\/strong><\/p><p>Set-up and dismantling:** Set-up on the Thursday before the start of the event from 12:00 to 20:00 and on the Friday before the start of the event from 07:00 to 24:00. The event takes place from Saturday to Monday. Dismantling on the last day of the event (Monday) from 17:00 to 24:00 and on the following Tuesday from 08:00 to 18:00. The calendar dates for the respective edition of the event will be announced by the organiser in good time in the exhibitor manual or in the Technical Guidelines.<br \/>&#8211; **Rigging and basic lighting**<br \/>&#8211; **Exhibitor catering:** breakfast, changing snacks &amp; cake, coffee beverages, infused water<br \/>&#8211; **Venue ancillary costs:** cleaning, technical services, security<br \/>&#8211; **Power connection:** Schuko, connected load up to 1 kW<br \/>&#8211; **General organisational costs:** administration, technical acceptance inspections, parking guidance system and comparable items<br \/>&#8211; **General environmental flat rate**<br \/>&#8211; **Marketing bundle**<br \/>&#8211; **Parking:** free of charge for exhibitors and visitors, subject to availability   <\/p><p>(2) For orders relating to items (c) and (d) in Clause 3 (1) which are received by PEOPLEME after the deadline set for this purpose, late surcharges of 25% will be charged.   <\/p><p>(3) Following application for the exhibition, the exhibitor will receive an interim invoice for 50% of the costs. This interim payment is due for payment immediately. The remaining amount of 50% of the costs is due no later than three months before the start of the fair and will be invoiced separately. If the application is made three months before the start of the fair or later, PEOPLEME will invoice the full costs upon application. For orders relating to items (c) and (d) in Clause 3 (1), PEOPLEME may at its own discretion request a higher interim payment upon application, up to the full amount of the estimated costs.       <\/p><p>(4) Where the provision of a power connection is ordered as an included or additional service, this service covers the power supply during the opening hours of the fair and during the set-up and dismantling periods. Where the provision of power is also required outside the aforementioned periods, the exhibitor must order and pay for this separately. <\/p><p>(5) The general environmental flat rate is included in the package price pursuant to Clause 3 (1). If the stand is not returned in broom-clean condition, PEOPLEME may additionally demand reasonable remuneration for waste removal. The exhibitor is obliged to register waste in accordance with the forms in the online exhibitor service. A fee of EUR 120\/m\u00b3 may be charged for the disposal of unregistered waste.    <\/p><p>(6) If the exhibitor is in default of payment of the invoice, the organiser is entitled to withdraw from the contract after a reasonable period has expired. The cases regulated by law in which the setting of a grace period is dispensable remain unaffected. In the event of withdrawal, the exhibitor will be charged an amount corresponding to the scale set out in Clause 4 (3). The exhibitor is entitled to prove that PEOPLEME has incurred no damage at all or substantially lower damage.    <\/p><p>(7) For all unfulfilled obligations, PEOPLEME has a lien and right of retention over the exhibition goods brought in and over other stand equipment. The items may be placed in storage at the exhibitor&#8217;s expense and risk. These may be sold by PEOPLEME following written notice and continued non-payment. Any surplus proceeds will be transferred to the exhibitor after deduction of all costs. In the event of damage to, destruction or loss of the pledged goods, the liability of PEOPLEME is limited to intent and gross negligence.<br \/>    <\/p><p>3.1 Trends Up West specific provision: Rebooking Special<\/p><p>For applications made under the Rebooking Special, the following special conditions apply, deviating from Clause 3 (3) and Clause 4: <\/p><p>&#8211; Right of withdrawal free of charge within 28 days of confirmation of the application by PEOPLEME<br \/>&#8211; Payment: 30% after expiry of the 28-day withdrawal period, 70% three months before the start of the event<br \/>&#8211; The Rebooking Special applies exclusively to existing exhibitors of the immediately preceding edition of Trends Up West and only within the booking period communicated by the organiser<\/p><p>In all other respects, the General Terms and Conditions of Participation apply unchanged.<\/p><p><strong>4. Withdrawal\/termination<\/strong><\/p><p>(1) Without acknowledging any legal obligation, PEOPLEME grants the exhibitor a contractual right of withdrawal.<\/p><p>(2) Withdrawal from the exhibitor contract (application) must be made in writing and is effective only upon written confirmation of receipt of the withdrawal (by post, fax or email) by PEOPLEME.<\/p><p>(3) In this case, the exhibitor must pay the following amounts:<\/p><p>&#8211; up to 6 months before the start of the fair, 50% of the costs agreed pursuant to Clause 3 (1) will be charged;<br \/>&#8211; up to 3 months before the start of the fair, 75% of the costs agreed pursuant to Clause 3 (1) will be charged;<br \/>&#8211; in the event of later withdrawal, the full costs agreed pursuant to Clause 3 (1) will be charged.   <\/p><p>The exhibitor is entitled to prove that PEOPLEME has incurred no damage at all or substantially lower damage.<\/p><p><strong>5. Warranty<\/strong><\/p><p>Complaints regarding any defects of the stand or the exhibition space must be notified to PEOPLEME in writing without undue delay after taking possession, but no later than on the final set-up day, so that PEOPLEME can remedy any existing defects.<\/p><p><strong>6. Exhibition goods<\/strong><\/p><p>(1) The exhibitor must send PEOPLEME a list of all significant exhibits 30 days before the start of the fair.<\/p><p>(2) Exhibits which are flammable, cause vibration or strong odours, or whose demonstration involves considerable noise must be expressly approved by PEOPLEME.<\/p><p>(3) Exhibits may not be removed during the event. Any damage resulting from violations shall be borne by the exhibitor. <\/p><p>(4) Exhibition goods which, due to their appearance, odour, noise, vibration or similar characteristics, cause a considerable disruption of fair operations, in particular leading to a considerable endangerment or impairment of other exhibitors, fair visitors or the exhibition goods of other exhibitors, must be removed immediately upon request by PEOPLEME. This obligation of the exhibitor applies even if the exhibitor pointed out such characteristics in the application and PEOPLEME granted approval for them. If the exhibitor does not comply with PEOPLEME&#8217;s request without undue delay, PEOPLEME is entitled to remove the objected exhibition goods at the exhibitor&#8217;s risk and expense. With regard to the costs, PEOPLEME acquires a lien on the exhibition goods. These may be sold by PEOPLEME following written notice and continued non-payment. Any surplus proceeds will be transferred to the exhibitor after deduction of all costs. In the event of damage to, destruction or loss of the pledged goods, the liability of PEOPLEME is limited to intent and gross negligence. The exhibitor derives no claims whatsoever against PEOPLEME from this, in particular no claims for termination or damages.       <\/p><p><strong>7. Insurance and liability<\/strong><\/p><p>(1) Proper insurance of the exhibition goods against all risks of transport, assembly and disassembly as well as during the event, in particular against damage, theft etc., is the responsibility of the exhibitor.<\/p><p>(2) For loss of or damage to the stand, the stand furnishings, the exhibition goods or other assets belonging to the exhibitor, its representative or persons employed or invited by it, as well as for other property damage, the liability of PEOPLEME is limited to intent and gross negligence. Indirect damage and loss of profit are excluded from liability. <\/p><p>(3) In the case of intentional or grossly negligent conduct by PEOPLEME, intentional or grossly negligent conduct by senior employees, and culpable injury to life, body or health, PEOPLEME is liable for the resulting damage.<\/p><p>(4) In all other respects, PEOPLEME is liable, irrespective of the legal grounds, only in the case of culpable breach of material contractual obligations which are indispensable for achieving the purpose of the contract, and in the case of intentional or grossly negligent conduct by ordinary vicarious agents. In these cases, however, liability is limited to the damage typically foreseeable at the time the contract was concluded. In each individual case, the liability of PEOPLEME is limited to three times the invoice amount. Liability under mandatory statutory provisions remains unaffected.   <\/p><p><strong>8. Equipment for stand design\/stand construction<\/strong><\/p><p>Where the exhibitor has rented equipment for stand design or stand construction, the exhibitor is obliged to notify PEOPLEME in writing without undue delay of any damage or missing items. The exhibitor must return the rented equipment to PEOPLEME in proper and undamaged condition after the end of the fair. The exhibitor bears the burden of proof in this respect.  <\/p><p>8.1. Trends Up West specific addition: Stand construction and stand design \/ open stand concept<\/p><p>TRENDS UP WEST follows an open stand concept. <strong>Partition walls between stands are generally not permitted.<\/strong> Suspensions by the exhibitor are permitted only with the express written consent of the organiser.<\/p><p>For the presentation of goods, the exhibitor&#8217;s own tables, platforms, shelving and comparable presentation elements are permitted, provided they correspond to the open design concept of the event. On the outer sides of the stand, furniture may generally not exceed a height of 1.60 m excluding exhibits. Within the stand area, a construction height of up to 1.80 m is permitted. Higher structures should be positioned as centrally as possible within the stand area.** For stand areas backing onto a hall wall, higher structures of up to a maximum of 2.50 m may be permitted at this rear side by way of exception, provided the organiser consents in advance. <\/p><p>The exhibitor&#8217;s own floor coverings are not permitted.** The existing hall floor applies as a general rule. Exempt from this are exhibition goods which themselves form part of the exhibitor&#8217;s presentation.  <\/p><p>A power connection (Schuko) with a connected load of up to 1 kW is provided for each stand unless otherwise agreed. Higher connected loads must be ordered and paid for separately. The exhibitor must inform the organiser if no power connection is required. The exact position of the connection depends on the technical conditions of the hall.   <\/p><p>In the interest of a uniform overall appearance, safety and open visitor flow, the organiser is entitled to make specifications regarding stand design. If the exhibitor fails to comply with these specifications despite being requested to do so, the organiser is entitled to order or carry out the necessary adjustments at the exhibitor&#8217;s expense. <\/p><p><strong>9. Online exhibitor directory and fair catalogue<\/strong><\/p><p>(1) PEOPLEME is entitled to publish the data provided by the exhibitors in an online exhibitor directory and a fair catalogue (basic entry). The data may be corrected, rectified, blocked or deleted by the exhibitors in the online exhibitor service or by written notice to PEOPLEME up to 4 weeks before the start of the fair. <\/p><p>(2) Entries in the online exhibitor directory and in the fair catalogue which go beyond a basic entry are subject to a charge and may be ordered by the exhibitor using a separate order form. A valid contract for these entries is concluded only upon express written acceptance by PEOPLEME or upon performance of the service by PEOPLEME. PEOPLEME reserves the right to refuse the acceptance of orders without stating reasons.  <\/p><p>(3) The exhibitor is obliged to provide the data and images to be published in the online exhibitor directory and the fair catalogue by the dates stated in the order form (copy deadline) and in the respective formats specified therein.<\/p><p>(4) In the event of cancellation by the exhibitor of an order for a chargeable entry up to the copy deadline, 50% of the agreed remuneration will be charged, unless the exhibitor is not responsible for the reason for the cancellation or proves that PEOPLEME incurred only lesser damage as a result of the cancellation. After the copy deadline, cancellation is no longer possible. <\/p><p>(5) For chargeable entries in the fair catalogue, PEOPLEME will send the exhibitor a proof before publication. Objections and changes can only be taken into account if the exhibitor notifies them in writing without undue delay, at the latest 5 working days after the proof has been sent. Otherwise the proof is deemed approved.  <\/p><p>(6) PEOPLEME is not obliged to check the entries for their legal admissibility. The exhibitor warrants that the texts and graphics provided by it are legally admissible and free of third-party rights. In this respect, the exhibitor shall indemnify PEOPLEME on first demand against any third-party claims and undertakes to reimburse PEOPLEME for all costs and other damages arising from claims asserted by third parties.  <\/p><p><strong>10. Staffing of the stand, advertising, demonstrations, sales and dismantling<\/strong><\/p><p>(1) The exhibitor is obliged to staff its stand with sufficient personnel at all times during the public opening hours of the event.<\/p><p>(2) PEOPLEME is entitled to prohibit the distribution and display of advertising material which could give rise to complaints.<\/p><p>(3) All types of demonstrations require the prior written consent of PEOPLEME. Notwithstanding consent granted, PEOPLEME is entitled at any time to restrict or prohibit demonstrations or advertising which lead to a considerable endangerment or impairment of fair operations, which violate statutory provisions, official orders or public decency, or which are of an ideological or political nature. In the event of a violation, PEOPLEME is entitled to prevent this at the exhibitor&#8217;s expense and risk.  <\/p><p>(4) The exhibitor is solely responsible for the handling of its business transactions. PEOPLEME cannot assume any guarantees or responsibility in this regard. <\/p><p>(5) The dismantling of the stand and the collection of the exhibition goods must be carried out by the exhibitor within the dismantling times specified by PEOPLEME. The exhibitor is not entitled to begin dismantling before the start of the dismantling times. In the event of a culpable breach of this provision, PEOPLEME is entitled, depending on the severity of the breach, to demand a one-off contractual penalty of 10% to 20% of the costs pursuant to Clause 3 (1). If exhibition goods are not collected by the exhibitor by the end of the dismantling period, PEOPLEME is entitled to place the exhibition goods in storage at the exhibitor&#8217;s expense. Clause 3 (7) applies accordingly.      <\/p><p><strong>11. Security<\/strong><\/p><p>(1) PEOPLEME provides no guarantee for the surveillance of the exhibitor&#8217;s stand and the exhibition goods, even where a general security service has been commissioned for the event.<\/p><p>(2) The exhibitor must in all cases arrange for the surveillance of its stand and its exhibition goods itself. Security personnel may only be requested and commissioned with the express written consent of PEOPLEME and only from security companies approved by PEOPLEME. The costs are borne by the exhibitor.  <\/p><p>(3) It is recommended that theft insurance be taken out.<\/p><p><strong>12. Reservations<\/strong><\/p><p>(1) Mandatory statutory provisions and guidelines of the host country take precedence at all times over these event conditions. Should individual points of these conditions of participation be invalid or cease to apply as a result of such precedence or for other reasons, the points not affected thereby remain fully valid. <\/p><p>(2) In the case of employment relationships, the applicable labour and social security regulations must be observed.<\/p><p>(3) The exhibitor must inform itself of and observe all safety regulations, in particular also with regard to the exhibition goods.<\/p><p>(4) The exhibitor is liable for any personal injury or property damage caused by the operation of exhibited machines, apparatus, devices etc.<\/p><p>(5) PEOPLEME reserves the right to amend the provisional floor plans on which the exhibitor&#8217;s application is based up until the start of the fair.<\/p><p>(6) PEOPLEME shall be entitled to change the title of the exhibition at its own discretion. Any such change shall, if possible, be communicated to the exhibitor in due time. <\/p><p><strong>13. Cancellation of the event\/change of event times<\/strong><\/p><p>(1) If the event cannot be held in whole or in part due to force majeure or other circumstances beyond the control of PEOPLEME, in particular strikes, natural disasters or the threat of terrorism, PEOPLEME is entitled to cancel, postpone, shorten and\/or hold the event only in part. PEOPLEME must inform the exhibitor of this in good time. <\/p><p>(2) Where the event is held only in part or in shortened form, PEOPLEME is entitled to the share of the remuneration agreed between the parties which is attributable to the part of the services rendered. Any remuneration already paid in excess of this must be reimbursed to the exhibitor where applicable. <\/p><p>(3) In the cases set out in paragraph 1, the exhibitor is not entitled to any claims for damages. The exhibitor shall further indemnify PEOPLEME against third-party claims in this case.  <\/p><p><strong>14. Photography, filming, video recordings and drawings<\/strong><\/p><p>PEOPLEME is entitled to have photographs, drawings, film and video recordings made of the fair activities, the stands and the exhibition goods, and to use these for advertising or general press publications.<\/p><p><strong>15. Data protection<\/strong><\/p><p>(1) PEOPLEME collects, stores and uses the data provided by the exhibitor in the course of the application and the performance of the contract for the purpose of performing the contract, and passes this data on to third parties where applicable, insofar as they render services for PEOPLEME or are engaged by PEOPLEME to perform the contract.<\/p><p>(2) PEOPLEME is further entitled to use the email address provided by the exhibitor even after termination of the contract in order to inform the exhibitor about similar events. The exhibitor may object to this use at any time by sending an email to PEOPLEME (info@peopleme.de). <\/p><p><strong>16. Non-compliance with the conditions<\/strong><\/p><p>If the exhibitor breaches its contractual obligations and in particular these General Terms and Conditions of Participation despite a warning or the setting of a grace period, the organiser may terminate the participation contract without notice.<\/p><p><strong>17. Final provisions<\/strong><\/p><p>(1) By applying to participate, the exhibitor recognises these &#8220;General Terms and Conditions of Participation&#8221; as well as the &#8220;Technical Guidelines&#8221; and the house rules of the venue of the respective exhibition\/fair as legally binding in all respects.<\/p><p>(2) Additional agreements, special permits or provisions of any other kind require the written consent of PEOPLEME.<\/p><p>(3) All claims of the exhibitor against PEOPLEME become time-barred within one year. The limitation period begins at the end of the month in which the final day of the event falls. <\/p><p>(4) Should any provision of these General Terms and Conditions of Participation be or become invalid or unenforceable, this shall not affect the validity of the remaining conditions. In such a case, the parties undertake to agree on a valid and enforceable provision which corresponds as closely as possible to the purpose of the provision to be replaced. The same applies to any gaps in these General Terms and Conditions of Participation.  <\/p><p>(5) The exhibitor is entitled to a right of retention only with regard to undisputed or legally established claims. The exhibitor may only set off claims which are undisputed or legally established. <\/p><p>(6) Regulations and guidelines of the host country take precedence at all times over these event conditions. Should individual points of these conditions of participation cease to apply as a result of such precedence or for other reasons, the provisions not affected thereby remain fully valid. <\/p><p>(7) If the exhibitor is a merchant or has its registered office abroad, Hamburg is agreed as the exclusive place of jurisdiction.
